VIM — Terms of Use

1. Scope and Acceptance

These Terms of Use ("Terms") govern your access to and use of the services, applications, websites, APIs, mobile apps, and other products provided by VIM AD DYNAMICS LLC (collectively, the "Services"). By accessing or using the Services you accept and agree to be bound by these Terms and by any policies referenced herein (including our Privacy Policy, Cookie Policy and Content Rules). If you do not agree to these Terms, do not use the Services.

2. Eligibility and Accounts

2.1 Eligibility

You represent and warrant that you are legally capable of entering into binding contracts in your jurisdiction. If you are under the legal age to form a binding contract where you live, you may use the Services only with the involvement of a parent or legal guardian.

2.2 Account Registration

Certain features require an account. You must provide accurate, current and complete information when creating an account and keep that information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

2.3 Verification and KYC

Accounts that earn points, receive payments, or participate in monetization programs may be required to complete identity verification (KYC), provide documentation, and undergo manual review. Failure to complete verification may result in suspension or restriction of monetization features.

3. User Content and License

3.1 Ownership

You retain ownership of the content you post to the Services. By posting content you grant VIM a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, distribute, prepare derivative works of, display and perform that content in connection with operating, promoting and improving the Services (including for moderation, indexing and machine learning purposes).

3.2 Representations

You represent that you have all rights necessary to grant the license above and that your content does not infringe any third-party rights, including intellectual property, privacy or publicity rights.

3.3 Moderation and Removal

VIM reserves the right to moderate, remove, restrict, demonetize or refuse to distribute any content that violates these Terms or applicable law. We may act without prior notice and will provide takedown and counter-notice procedures where required by law.

4. Points System and Wallet

4.1 Points, Conversion and Rules

The Services may include a points-based reward system. Points conversion rates, earning rules, daily limits and eligibility criteria are published in the user interface and may change at VIM’s discretion. Example: 100 points = US$1.00 (example rate only; actual rate shown in-app).

4.2 Fraud, Abuse and Reversals

Any attempt to manipulate metrics, generate fraudulent activity, use bots, or otherwise abuse the points system will result in reversal of points, suspension or termination of accounts, and potential legal action. VIM uses automated and manual anti-fraud measures and reserves the right to withhold or reverse points pending investigation.

4.3 Payments, KYC and AML

Transfers from wallet to external payment providers or bank accounts require identity verification and may be subject to anti-money laundering (AML) checks. Payout timing, fees and limits are described in the payout settings. Users are responsible for any taxes or reporting obligations in their jurisdiction.

5. Prohibited Conduct

When using the Services you must not:

• Violate applicable laws or third-party rights;
• Post content that is unlawful, defamatory, obscene, pornographic, hateful, harassing, or that incites violence;
• Use automation or scripts to interact with the Services without authorization;
• Manipulate metrics, inflate engagement, or otherwise attempt to game the rewards system;
• Distribute malware, phishing content, or engage in fraudulent schemes;
• Attempt to access other users' accounts or private data without authorization.

Violations may result in content removal, account suspension or termination, forfeiture of points, and civil or criminal liability.

6. VIM Intellectual Property

All trademarks, service marks, trade names, logos, domain names, software, APIs and other intellectual property used by VIM are the property of VIM or its licensors. Nothing in these Terms grants you any right to use VIM’s intellectual property except as expressly permitted by VIM in writing.

7. Privacy and Data

Our Privacy Policy explains how we collect, use, share and protect personal data. By using the Services you consent to such collection and processing as described in the Privacy Policy, including cross-border transfers between the United States, Brazil and other jurisdictions.

8. Security

We implement reasonable technical and organizational measures to protect user data. You must keep your credentials secure and promptly notify VIM of any unauthorized use of your account. VIM is not responsible for losses resulting from compromised credentials where you failed to take reasonable steps to secure your account.

9. Disclaimers and Limitation of Liability

Disclaimer: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR USE. VIM’S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS SHALL BE LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO VIM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US$100.

These limitations do not apply to liability that cannot be limited or excluded by applicable law (for example, liability for death or personal injury caused by negligence where applicable).

10. Indemnification

You agree to indemnify, defend and hold harmless VIM and its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your breach of these Terms, (b) your content, or (c) your violation of applicable law or third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. You and VIM will attempt to resolve disputes informally. If informal resolution fails, disputes will be resolved by binding arbitration administered by an arbitration provider selected by VIM, with the arbitration seated in Delaware, unless otherwise required by law. You and VIM each waive the right to a jury trial and to participate in a class action.

12. Changes to These Terms

VIM may modify these Terms at any time. Material changes will be communicated with reasonable notice. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

13. Termination

VIM may suspend or terminate access to the Services or individual accounts at any time for violation of these Terms or for operational reasons. Termination does not relieve you of obligations that accrued prior to termination, including indemnity and payment obligations.

14. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and other referenced policies, constitute the entire agreement between you and VIM regarding the Services.
• Severability: If any provision is found invalid, the remaining provisions remain in effect.
